Terms of Service

By using Afyanex Care ("the Service"), you agree to these Terms. If you are using the Service on behalf of a home-care agency, you represent that you have authority to bind that agency to these Terms.

1. The Service

Afyanex provides software-as-a-service for documentation, scheduling, billing, electronic visit verification, and AI-assisted clinical-note generation for home-care agencies.

2. Your account

  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity under your account, including

caregivers and admins you invite.

  • You must immediately notify us at security@afyanex.com if you suspect

unauthorized access.

3. Acceptable use

You agree NOT to:

  • Use the Service to violate any law, regulation, or third-party right.
  • Upload viruses, malware, or content you do not have rights to share.
  • Reverse-engineer, scrape, or copy any non-public part of the Service.
  • Use AI features to generate fraudulent or misleading clinical content.

4. Subscription and billing

  • Plans renew automatically unless cancelled.
  • Annual plans are billed up-front; monthly plans are billed each cycle.
  • Refunds are available within 14 days of initial subscription for

pro-rated unused service.

  • We may change pricing with 60 days' notice.

5. HIPAA / Business Associate

If you handle Protected Health Information (PHI), you must sign a Business Associate Agreement (BAA) with us before processing live client data. The BAA is available in-app under Settings → Compliance → BAA.

6. Your data

You retain ownership of your data. You grant us a limited license to host, process, and transmit it solely to operate the Service for you. You can export your data at any time.

7. AI features

Our AI features (voice transcription, note formatting, summarisation) are assistive tools. The caregiver / admin remains responsible for verifying clinical accuracy before submission. We do not warrant that AI output is free from errors and we do not use your PHI to train any model.

8. Service availability

We target 99.5% monthly uptime. We are not liable for downtime caused by events outside our reasonable control (e.g., upstream cloud outages, force majeure). Maintenance windows are announced 48 hours in advance.

9. Disclaimers and liability

The Service is provided "AS IS". To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend or terminate accounts immediately for material breach, including failure to sign a BAA before processing PHI.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
